1. Introduction

These Terms of Service, together with any policies or notices referenced in them, govern your access to and use of the Popdex website, application, interfaces, APIs, pool pages, wallet-connection features, quote and attestation flows, transaction-building tools, support form, and related services that Popdex Inc. makes available at or through https://popdex.io and related domains or interfaces.

In these Terms, "Popdex," "we," "us," and "our" mean Popdex Inc. "You" and "your" mean the person or entity accessing or using the Services. "Services" means the Popdex-operated website, user interface, hosted APIs, software interfaces, documentation, support tools, and related features. Public blockchain networks, validators, third-party wallets, RPC providers, token issuers, and other third-party services are not controlled by Popdex, even when the Services interact with them.

By accessing the Services, connecting a wallet, viewing pool information, requesting a quote or attestation, submitting a swap, using Liquidity Splay or Buzz Guard functionality, adding or removing liquidity, opening a support ticket, or otherwise using the Services, you agree to these Terms. If you use the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

2. Experimental product; network and deployment status

Popdex is experimental software for attention markets and blockchain-based liquidity features. The Services may be incomplete, unavailable, inaccurate, interrupted, or changed at any time. Features may be limited to specific networks, supported wallets, supported token accounts, supported pools, allowlisted configurations, preview deployments, or other operating conditions.

You acknowledge that beta software and blockchain-based systems involve elevated risk, including bugs, misconfiguration, failed transactions, incorrect displays, protocol defects, smart-contract vulnerabilities, downtime, and loss of funds or assets. You should not use the Services with funds, tokens, or assets that you cannot afford to lose.

Popdex may modify, suspend, disable, restrict, or discontinue any part of the Services at any time, including pool pages, quote features, wallet interactions, attestation services, Liquidity Splay, Buzz Guard, liquidity features, support features, or transaction-submission functionality.

3. Description of the Services

Popdex is building attention markets that help surface emerging projects, tokens, creators, and communities through market-based discovery. The current Services may allow users to view configured token or pool pages, connect a supported third-party wallet, view pool information such as phase, reserves, prices, Buzz, anchor price, activity, graduation-related information, liquidity information, and Buzz Guard information, preview swaps involving attention assets and a USDC-denominated quote token, request swap attestations used by Popdex protocol logic, submit wallet-approved swap transactions, preview and submit liquidity add or remove transactions for supported pools, interact with Liquidity Splay and Buzz Guard features, create or use required associated token accounts where supported by the interface, view transaction status, signatures, readiness checks, and error or recovery messages, and open support tickets for private or unresolved issues.

The Services are interfaces and tools. They do not guarantee that any transaction will succeed, that displayed information is complete or current, that any pool has sufficient liquidity or inventory, that any balancing, execution, fee, reward, APR, or protection figure will be achieved, or that any token or pool has any particular value.

4. Eligibility

You may use the Services only if you are at least 18 years old, or the age of legal majority in your jurisdiction, whichever is higher; have legal capacity to agree to these Terms; are not barred from using the Services under applicable law; are not identified on any sanctions list, restricted-party list, or similar list maintained by a government authority applicable to you or Popdex; are not located in, organized in, ordinarily resident in, owned or controlled by, acting on behalf of, or acting for the benefit of any person or jurisdiction subject to sanctions, embargoes, or restrictions that would prohibit your use of the Services or Popdex's provision of the Services; and will use the Services only in compliance with all applicable laws and regulations.

Popdex may restrict access to the Services from certain jurisdictions, wallets, IP addresses, pools, users, or activity patterns as required or permitted by law, these Terms, or Popdex policies. Popdex does not represent that any access-control, sanctions-screening, wallet-screening, IP-screening, or other compliance measure is complete, error-free, or legally sufficient for your circumstances.

5. Wallets and non-custodial interactions

The Services require or may require you to use a third-party wallet, such as Phantom or another supported Solana wallet. Your wallet is provided by a third party, not by Popdex.

Popdex does not hold your private keys, seed phrase, or wallet credentials. Popdex cannot recover your wallet, reverse a transaction, restore lost keys, or access assets held in your wallet.

When you approve a transaction in your wallet, you are instructing your wallet to sign and submit blockchain transaction data. You are solely responsible for reviewing transaction details, including token amounts, destination accounts, fees, slippage or minimum-output settings, liquidity amounts, account-creation details, and network information before approving any transaction.

Although Popdex does not custody your wallet, protocol interactions may transfer tokens from your wallet to blockchain program accounts, pool vaults, treasury accounts, liquidity pools, or other addresses according to the transaction you approve and the applicable protocol logic. Once transferred, assets may no longer be under your direct wallet control.

6. Blockchain transaction risks and finality

Blockchain transactions may be irreversible once submitted or confirmed. Popdex cannot cancel, reverse, recover, or modify transactions after they are submitted to a blockchain network.

You are responsible for all network fees, validator fees, rent, account-creation costs, wallet fees, third-party fees, and other costs associated with your transactions, including transactions that fail, are rejected, are delayed, or do not produce the expected result.

Blockchain networks can experience congestion, forks, outages, censorship, reorganization, validator failures, RPC failures, delayed confirmation, or other issues. Wallets, RPC providers, token programs, block explorers, indexers, and other third-party tools may display inaccurate or delayed information.

7. Attention assets, pools, swaps, and liquidity risks

Attention assets, pool tokens, LP tokens, and related market mechanics are experimental. They may have no value, low or no liquidity, volatile prices, incomplete markets, or limited utility. There is no guarantee that you will be able to buy, sell, redeem, transfer, add liquidity, remove liquidity, rebalance, or otherwise transact at any particular price or time.

Unless Popdex expressly states otherwise in a separate written agreement, attention assets, pool positions, Buzz Guard positions, and LP tokens do not represent equity in Popdex, ownership of Popdex, a claim on Popdex assets or revenue, governance rights, voting rights, dividends, interest, guaranteed yield, guaranteed APR, or any right to receive future services or payments from Popdex.

Pool mechanics may include pre-graduation bonding-curve or virtual-reserve pricing, post-graduation pricing based on protocol state, Buzz-based price changes, periodic resets, anchor prices, live vault reserves, pool inventory limits, graduation conditions, minimum-output checks, dynamic fees, LP fee budget mechanics, treasury fee transfers, two-sided liquidity adds, proportional liquidity removals, Buzz Guard deposits or withdrawals, and transaction-specific attestations or nonces.

Displayed prices, Buzz values, anchor prices, reserves, charts, activity feeds, quote previews, Buzz Guard previews, APR figures, protection figures, and graduation indicators are informational only. They may be delayed, estimated, rounded, stale, incorrect, or inconsistent with final on-chain execution.

A quote or preview does not guarantee execution. Between preview and execution, pool state, reserves, price, Buzz, account status, attestation validity, network conditions, or program state may change. Your transaction may fail, produce less output than expected subject to your minimum-output settings, incur fees, or execute at a different effective outcome than a previous preview suggested.

Liquidity provision involves additional risk. LP tokens, Buzz Guard positions, or other liquidity positions may be affected by price movement, reserve changes, pool activity, protocol fees, failed removals, insufficient reserves, divergence loss, impermanent loss, smart-contract bugs, and liquidity concentration or withdrawal by other participants. Popdex does not guarantee returns, yield, rewards, liquidity, APR, protection, or the ability to remove liquidity.

8. Liquidity Splay, Buzz, resets, and execution

Liquidity Splay, Buzz, anchor-price, reset, graduation, and related execution features are protocol and interface mechanics designed for Popdex attention-market behavior. They are not assurances of price stability, market demand, token quality, liquidity depth, or economic value.

Buzz, displayed price effects, reset timing, splay behavior, and execution outcomes may depend on current pool state, live token-account balances, recent activity, configured parameters, transaction order, network timing, attestations, nonce rules, and other protocol conditions. These values may change rapidly and may differ from interface estimates.

Post-graduation resets are not autonomous background jobs. A reset is applied only when a reset-capable transaction successfully invokes the protocol after the applicable reset boundary, using Solana's approximate on-chain clock. Displayed reset times are therefore advisory. Post-graduation Current Price is Buzz/Anchor-derived, while swap execution uses Liquidity Splay and live inventory/solvency checks; Splay execution may fail or produce no executable quote because of slippage, inventory, solvency, account, attestation, reset, numeric-envelope, overflow, or protocol-safety checks.

Popdex may change, pause, or limit interface support for Liquidity Splay, Buzz displays, reset displays, readiness checks, and related features. You should review all wallet prompts and transaction details before signing.

9. Buzz Guard

Buzz Guard is a mandatory protocol component of every Popdex v3 token and becomes operational after graduation. In the current implementation, Buzz Guard is a USDC-only weekly protection lane. It is not normal LP, does not mint normal LP tokens, does not create a transferable receipt, NFT, or bank deposit, and does not auto-roll positions. Buzz Guard deposits, positions, reward displays, APR displays, protection labels, capacity figures, routing information, and withdrawal statuses are informational and may be estimates.

Buzz Guard deposits may be subject to capacity limits, deposit windows, first-come-first-served acceptance, deposit fees, terminal-state withdrawal rules, claim-bucket mechanics, routing behavior, smart-contract risk, transaction failure, loss of assets, token-price movement, pool imbalance, liquidity shortage, withdrawal delay, and other risks. A "protection" label is a protocol label only; it is not insurance, principal protection, a guarantee against loss, or a guarantee that any pool, position, reward, APR, or withdrawal will be available or valuable.

Buzz Guard deposits and other protocol transfers are not bank deposits, custodial accounts, brokerage accounts, insured products, or principal-protected products. They are not covered by FDIC, SIPC, or similar deposit or investor-protection insurance.

You are responsible for evaluating the risks and consequences of any Buzz Guard interaction before signing. Popdex may add, remove, restrict, pause, or modify Buzz Guard features at any time.

10. Fees, rewards, APR figures, and taxes

Popdex protocol interactions may include fees. Fees may be shown in the interface, included in quote previews, deducted from input amounts or proceeds, routed to protocol vaults, LP-related accounting, treasury accounts, network validators, or other recipients depending on the transaction and protocol logic.

Fees may include swap fees, dynamic sell fees, LP-related fee allocations, Popdex treasury fees, network transaction fees, rent, account-creation costs, wallet fees, RPC or infrastructure fees, and third-party fees. Displayed fees, rewards, APR figures, protection figures, and other economics are estimates or current calculations and may change.

Popdex may add, remove, or modify fees, fee recipients, fee rates, fee calculations, reward displays, APR displays, or transaction-cost disclosures at any time, subject to applicable law. You are responsible for all taxes arising from your transactions or use of the Services.

11. Support and communications

Popdex may provide support through a support form, email, website notices, product messages, public social channels, or other channels. Support is provided for convenience and does not create a duty to monitor, respond, resolve, reverse, reimburse, investigate, or continue support for any issue. Support communications may be processed by Popdex's support, email-delivery, hosting, security, and operational providers.

The support form may require an email address, wallet address, issue category, issue description, optional transaction signature, and security or bot-prevention checks. Support messages may be rate-limited, blocked, delayed, filtered, or fail to deliver. Popdex may decline support requests that are abusive, unlawful, security-sensitive, incomplete, outside the scope of the Services, or inconsistent with these Terms.

Any support-ticket confirmation or delivery message means only that the request was submitted or accepted for processing; it does not guarantee that Popdex will respond, resolve the issue, recover assets, reverse transactions, or provide any particular support outcome.

Never share seed phrases or private keys. Popdex will not ask you for seed phrases or private keys and cannot use support channels to recover wallets, reverse blockchain transactions, or guarantee outcomes.

12. Attestations and transaction validation

Certain transactions may require an attestation, signature, nonce, timestamp, expiry, or other validation data before they can be submitted or accepted by protocol logic. An attestation is a technical validation mechanism. It is not a recommendation, endorsement, investment opinion, guarantee of safety, guarantee of execution, or statement that a transaction is legally or economically appropriate.

Attestation services may be unavailable, delayed, rate-limited, misconfigured, expired, or return errors. A transaction may fail if an attestation is stale, invalid, mismatched, expired, or inconsistent with current protocol state.

13. No investment, financial, legal, tax, or trading advice

Popdex does not provide investment, financial, legal, tax, accounting, or trading advice. No pool page, price, reserve display, Buzz value, quote, chart, activity feed, token name, token symbol, graduation indicator, Buzz Guard display, APR display, protection display, user-interface message, document, or communication from Popdex should be interpreted as advice or as a recommendation to buy, sell, hold, swap, provide liquidity, remove liquidity, rebalance, deposit, withdraw, or otherwise transact.

You are solely responsible for evaluating the risks, legality, tax treatment, suitability, and consequences of any transaction. You should consult your own advisers before using the Services or engaging in any blockchain transaction.

Popdex does not represent that any token, pool, LP token, Buzz Guard position, or transaction is or is not a security, commodity, derivative, payment instrument, regulated product, or other legally classified instrument in any jurisdiction.

14. Third-party services and infrastructure

The Services may rely on or interact with third-party services, including wallets, blockchain networks, token programs, RPC providers, validators, APIs, infrastructure providers, hosting providers, indexers, block explorers, browser extensions, email providers, analytics providers, bot-prevention providers, and other services.

Third-party services are governed by their own terms and privacy policies. Popdex does not control third-party services and is not responsible for their performance, security, accuracy, availability, fees, decisions, or failures.

You are responsible for understanding and accepting the risks and terms associated with any third-party wallet, network, token, or service you use.

15. User responsibilities

You agree that you will use the Services only for lawful purposes; maintain the security of your wallet, devices, private keys, seed phrases, and credentials; independently verify transaction details before signing; comply with all applicable laws, including tax, sanctions, export-control, anti-money-laundering, consumer-protection, securities, commodities, and financial-services laws; provide accurate information when interacting with Popdex, if any information is requested; avoid interfering with or disrupting the Services; and promptly report suspected security issues to Popdex through the available support contact.

16. Prohibited conduct

You may not use the Services to violate any law, regulation, court order, sanctions program, or third-party right; engage in fraud, deception, market manipulation, wash trading, spoofing, layering, pump-and-dump activity, insider trading, or other abusive trading behavior; launder money, finance terrorism, evade sanctions, or conceal the origin or destination of funds; exploit, attack, manipulate, or interfere with any smart contract, pool, Buzz Guard feature, attestation service, RPC endpoint, wallet integration, API, website, support form, or infrastructure; bypass access controls, rate limits, geographic restrictions, security measures, bot-prevention systems, or transaction validation systems; use bots, scrapers, crawlers, or automated systems in a manner that burdens, disrupts, or abuses the Services; introduce malware, harmful code, or unauthorized scripts; impersonate any person or entity or misrepresent your affiliation; submit or display unlawful, infringing, misleading, defamatory, obscene, hateful, or harmful content or metadata; or assist any other person in doing any of the above.

You may not use the Services to access, route, support, facilitate, or transact for the benefit of any sanctioned, blocked, or restricted person or jurisdiction, or to evade sanctions, export controls, geographic restrictions, wallet restrictions, bot-prevention systems, or other compliance controls.

Popdex may investigate suspected violations and may restrict, suspend, or block access to the Services, although Popdex has no obligation to monitor all activity.

17. Token metadata, user content, and feedback

The Services may display token names, symbols, metadata, pool information, transaction activity, wallet addresses, feedback, or other content from blockchain networks, Popdex systems, users, operators, or third parties. Support tools may process support submissions and related materials. Popdex does not guarantee that such displayed or processed content is accurate, complete, lawful, non-infringing, or current.

If you submit, provide, create, or cause to be displayed any content, metadata, feedback, suggestion, idea, bug report, or other non-support material through or in connection with the Services, you represent that you have all rights necessary to do so. You grant Popdex a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, use, reproduce, modify, display, distribute, and create derivative works from that material for the purpose of operating, improving, securing, promoting, and developing the Services and Popdex products.

If you submit a support submission, you represent that you have all rights necessary to provide it. You grant Popdex a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, use, reproduce, modify, transmit, display internally, share with service providers, and retain that support submission as reasonably necessary to operate, improve, troubleshoot, secure, and provide the Services; respond to or process the support request; comply with law; enforce these Terms; and protect Popdex, users, and others. Popdex will not publicly display support submissions for promotional purposes without your separate permission.

Popdex may remove, hide, restrict, or modify the display of content in the Popdex interface, but Popdex may not be able to remove content or metadata that has been written to a public blockchain or support submissions that have already been shared with third-party systems.

18. Intellectual property

The Services, including the Popdex name, logos, website, user interface, designs, text, graphics, software, documentation, support materials, and other materials, are owned by Popdex or its licensors and are protected by intellectual-property and other laws.

Subject to these Terms, Popdex grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for their intended purpose. No rights are granted except as expressly stated in these Terms or in any applicable open-source license.

You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works from the Services except as permitted by law, by an applicable open-source license, or by written permission from Popdex.

19. Data, privacy, and support submissions

Popdex's collection and use of information is described in its Privacy Policy at https://popdex.io/privacy.

To operate the Services, Popdex and third-party providers may process information such as wallet addresses, pool identifiers, token account addresses, transaction parameters, quote and attestation requests, transaction signatures, support ticket contents, browser or device information, IP addresses, logs, analytics events, bot-prevention signals, and other technical information. Blockchain transaction data is generally public and may be permanently visible to anyone.

You are responsible for reviewing the Privacy Policy and the privacy policies of any wallet, RPC provider, hosting provider, blockchain network, support provider, bot-prevention provider, or other third-party service you use.

20. Service changes, downtime, and termination

Popdex may update, modify, suspend, restrict, or discontinue the Services at any time, with or without notice. Popdex may also restrict access to specific pools, features, wallets, jurisdictions, IP addresses, users, or support channels.

You may stop using the Services at any time. Certain on-chain transactions, positions, token balances, or public blockchain records may continue to exist independently of your use of the Popdex interface.

Popdex is not responsible for any loss arising from suspension, termination, downtime, unavailability, changes to the Services, or inability to access any feature.

21. Disclaimers

To the maximum extent permitted by law, the Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, statutory, or otherwise.

Popdex disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, uninterrupted operation, security, error-free operation, and compatibility.

Popdex does not warrant or represent that the Services will be available, secure, accurate, complete, or error-free; that any quote, preview, price, reserve, Buzz value, fee estimate, APR figure, protection figure, activity feed, or transaction status will be accurate or current; that any transaction will be accepted, confirmed, finalized, reversible, profitable, lawful, or suitable for you; that any pool will have liquidity, inventory, volume, price stability, or continued operation; that any token, LP token, or Buzz Guard position will have value, utility, transferability, liquidity, or legal status; that any smart contract, blockchain network, wallet, RPC provider, attestation service, support service, or third-party system will function as expected; that the Services will be free from bugs, vulnerabilities, exploits, malware, or harmful components; or that your use of the Services will satisfy any legal, regulatory, tax, accounting, or compliance requirement.

Some jurisdictions do not allow certain disclaimers, so some of the above disclaimers may not apply to you.

22. Limitation of liability

To the maximum extent permitted by law, Popdex and its affiliates, directors, officers, employees, contractors, agents, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, or for lost profits, lost revenue, lost opportunities, lost data, loss of goodwill, loss of tokens, loss of digital assets, transaction failures, price changes, slippage, liquidity losses, smart-contract failures, wallet compromise, network failures, support failures, or other losses arising out of or related to the Services.

To the maximum extent permitted by law, Popdex's total liability for all claims arising out of or related to the Services or these Terms will not exceed the greater of: (a) USD $100; or (b) the amount you paid directly to Popdex for use of the Services in the twelve months before the event giving rise to the claim.

The limitations in this section apply whether the claim is based on contract, tort, negligence, strict liability, statute, or any other legal theory, even if Popdex has been advised of the possibility of such damages.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

23. Indemnification

You agree to defend, indemnify, and hold harmless Popdex and its affiliates, directors, officers, employees, contractors, agents, licensors, and service providers from and against any claims, damages, losses, liabilities, penalties, fines, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your access to or use of the Services; your wallet, transactions, tokens, liquidity positions, Buzz Guard positions, or blockchain activity; your violation of these Terms; your violation of any law, regulation, or third-party right; your content, metadata, feedback, support submissions, or other materials; your negligence, fraud, misconduct, or misuse of the Services; or your use of third-party wallets, networks, tokens, protocols, or services.

Popdex may control the defense of any indemnified claim, and you agree to cooperate with Popdex in defending such claims.

24. Governing law and forum

These Terms and any dispute arising out of or related to these Terms or the Services will be governed by the laws of Delaware, without regard to conflict-of-law rules.

Any dispute arising out of or related to these Terms or the Services will be resolved exclusively in the state or federal courts located in Delaware.

Nothing in these Terms limits either party's ability to seek injunctive or equitable relief for unauthorized use of intellectual property, security incidents, or misuse of the Services.

25. Changes to these Terms

Popdex may update these Terms from time to time. When Popdex makes changes, it may update the "Last Updated" date or provide other notice as appropriate.

Your continued use of the Services after updated Terms become effective means you accept the updated Terms. If you do not agree to updated Terms, you must stop using the Services.

26. Miscellaneous

These Terms, together with any policies or notices referenced in them, are the entire agreement between you and Popdex regarding the Services.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. Popdex's failure to enforce any provision is not a waiver of its rights. You may not assign these Terms without Popdex's consent. Popdex may assign these Terms in connection with a merger, acquisition, reorganization, financing, sale of assets, or by operation of law.

Headings are for convenience only and do not affect interpretation.
